Referral & Rewards Agreement Terms
SUMMARY
Thank you for your interest in our Referral & Rewards Agreement, hereinafter referred to as the “Agreement”. Within this Agreement, “Referrer” refers to you as the applicant, while “Avilla Innovations” pertains to Avilla Innovations LLC, with whom you are entering into this Agreement. The date your application is approved is referred to as the “Effective Date”.
This Agreement is designed to ensure clarity and fairness for all parties involved: you, Avilla Innovations, and our valued clients. We kindly request that you carefully review the Agreement. This Agreement outlines the terms and conditions governing your participation in the Referral & Rewards Agreement.
By submitting your application to join the Referral & Rewards Agreement, you affirm that you have thoroughly reviewed and accepted the terms and conditions set forth herein.
RECITALS
1) Referral Commission:
- Avilla Innovations agrees to pay a onetime referral commission, for new Avilla Innovations clients, to the Referrer based on the following tier structure:

| 1 | 1 to 5 | $50 |
| 2 | 6 to 15 | $75 |
| 3 | 16 or more | $100 |
2) Payment Schedule:
- Avilla Innovations shall process and pay the commission to the Referrer 30 days after a retainer payment from the referred client is received and cleared.
- The commissions due are paid out via PayPal.
3) Eligibility:
- The referral commission shall only be payable for new Avilla Innovations referred clients who have signed a retainer Agreement and have made a payment to Avilla Innovations.
- The referral commission shall not be applicable to any subsequent renewals, upgrades, or additional services acquired by the referred client.
4) Compliance:
- This Agreement is governed by the laws of the State of California. Both parties agree to comply with all applicable federal, state, and local laws and regulations.
- The Referrer shall furnish tax-related information for the purpose of annual tax filings.
5) Termination:
- Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
- If the Referrer terminates the Agreement, no further commissions from Avilla Innovations will be paid as of the termination date.
- If Avilla Innovations chooses to terminate the Agreement, the remaining balance will be paid to the affiliate within 30 days of termination.
- In case Avilla Innovations terminates the Agreement for a violation, the commissions will not be paid or owed.
6) Confidentiality:
- Both parties agree to maintain the confidentiality of all proprietary and sensitive information obtained during the referral program.
7) Entire Agreement:
- This Agreement represents the entire Agreement between Avilla Innovations and the Referrer and supersedes all prior Agreements and understandings, whether written or oral.
8) Amendment:
- We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Agreement rules.
